These Terms govern use of the RedEXCompile desktop software, RedEX language tools, phone workspace, Toolchain Vault, terminal features, plugin features, and related materials (collectively, the “Software”) provided by RedX Development (“RedX,” “we,” “us,” or “our”). By installing, launching, or using the Software, you agree to these Terms. If you do not agree, do not use the Software.
IMPORTANT: THIS TEMPLATE SHOULD BE REVIEWED BY A QUALIFIED ATTORNEY BEFORE PUBLIC COMMERCIAL RELEASE. IT DOES NOT GUARANTEE THAT EVERY POSSIBLE CLAIM OR LEGAL REQUIREMENT IS COVERED.
Subject to these Terms, RedX grants you a limited, revocable, nonexclusive, nontransferable license to install and use the Software for lawful personal or internal business development. The Software is licensed, not sold. No ownership interest is transferred.
You may not resell, sublicense, rent, publicly redistribute, remove proprietary notices from, or use the Software or RedEXCompile branding to create a misleadingly affiliated product without written permission. Applicable open-source components remain governed by their own licenses.
You retain ownership of code, projects, prompts, files, and other content you create or load. You are solely responsible for confirming that you have the necessary rights to that content and for the legality, security, accuracy, and operation of software you build.
RedEXCompile is a development tool. It does not review every command, dependency, plugin, generated output, deployment, or security consequence. Maintain independent backups and version control. Review changes before saving, running, committing, publishing, or deploying them.
The Software can execute terminal commands, modify files, discover installed programs, change project configuration, invoke package managers, and start third-party installers. These operations can delete or overwrite data, install vulnerable or malicious packages, consume storage or network resources, change system configuration, or require administrator privileges.
You must review commands, paths, permissions, package names, sources, and installer prompts. RedX does not warrant or endorse third-party runtimes, packages, repositories, plugins, compilers, SDKs, or installers merely because the Software detects or displays them.
Toolchain Vault links paths; it does not guarantee version compatibility. Project-specific package managers and lockfiles remain authoritative for project libraries.
Optional AI functionality is provided through third-party services, including GitHub Copilot and any provider you configure through Help Write (such as OpenAI, Anthropic, Google Gemini, OpenRouter, or an OpenAI-compatible endpoint). Your use is also governed by the provider’s then-current terms, privacy statement, plan limits, acceptable-use rules, and organizational policies. You are responsible for the API keys you add, charges incurred through them, provider selection, model selection, and any code or secrets included in a request.
AI output may be inaccurate, insecure, incomplete, offensive, nonfunctional, or similar to existing material. It may suggest destructive commands or code with licensing, privacy, security, or intellectual-property risks. You are responsible for reviewing, testing, securing, licensing, and validating all output. Do not rely on AI output for medical, legal, financial, safety-critical, or other high-risk decisions.
Permission prompts reduce risk but do not make an approved action safe. Approval remains your decision.
Phone access exposes the selected project through a service on your computer after you enable it. You may use a local address or explicitly start a temporary third-party internet tunnel. Pairing codes, rate limits, expiring sessions, and path controls reduce risk but cannot make an untrusted device, network, tunnel provider, collaborator, or compromised computer safe. Anyone who obtains both a live address and pairing code may access the selected project until the session expires or is stopped. Stop access when finished and never share pairing information publicly.
Live Collaboration and QuickChat can transmit project edits, messages, temporary usernames, network signaling, and voice/video streams among participants. Temporary usernames are not verified identities. Review participants before sharing code or speaking on a call. WebRTC connections, STUN services, browsers, operating systems, and tunnel providers may process network addresses and connection metadata. RedX does not promise that every network permits a direct media connection, and no built-in TURN relay guarantee is provided.
RedEXP packages are designed as declarative plugins, but you remain responsible for choosing trusted sources and reviewing requested changes. Third-party plugins are provided by their publishers, not RedX. RedX may reject, disable, or remove plugins that are invalid, unsafe, infringing, or incompatible.
You may not use the Software to violate law; infringe rights; distribute malware; gain unauthorized access; evade security controls; harass, exploit, or harm people; interfere with networks or services; or misrepresent identity or affiliation. Security research must be authorized and conducted responsibly.
Features may change, break, be limited, or be discontinued. Third-party services may change pricing, authentication, models, APIs, policies, or availability without RedX’s control. Automatic updates depend on a compatible installed build, network access, correctly published GitHub release metadata, and platform-specific installer requirements. Source commits are not automatically executable updates. RedX is not obligated to provide maintenance, support, compatibility, data recovery, or updates unless separately agreed in writing.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE IS PROVIDED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS,” WITHOUT WARRANTIES OF ANY KIND. REDX EXPRESSLY DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY, QUIET ENJOYMENT, COMPATIBILITY, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
REDX DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, SECURE, UNINTERRUPTED, SUITABLE FOR PRODUCTION, COMPATIBLE WITH EVERY LANGUAGE OR TOOL, OR THAT OUTPUT, DEPENDENCIES, PLUGINS, COMMANDS, BUILDS, OR AI RESULTS WILL BE CORRECT OR SAFE.
Some jurisdictions do not allow certain exclusions, so some exclusions may not apply to you.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, REDX AND ITS OWNERS, CONTRIBUTORS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES; LOSS OF DATA, CODE, PROFITS, REVENUE, BUSINESS, GOODWILL, OR SECURITY; SYSTEM DAMAGE; SERVICE INTERRUPTION; OR COST OF SUBSTITUTE SERVICES, ARISING FROM OR RELATED TO THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, REDX’S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE SOFTWARE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID REDX FOR THE SOFTWARE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US$25.
Nothing excludes liability that cannot legally be excluded.
To the extent permitted by law, you agree to defend, indemnify, and hold harmless RedX and its owners, contributors, affiliates, and licensors from third-party claims, damages, liabilities, costs, and reasonable legal fees arising from your projects, content, distribution, deployments, violation of these Terms, violation of law, or infringement of another party’s rights.
These Terms remain effective until terminated. Your license automatically ends if you materially violate them. Upon termination, stop using and delete copies of proprietary Software, except where retention is legally required. Provisions that by their nature should survive will survive, including ownership, disclaimers, limitations, and indemnity.
These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict-of-law principles. Subject to applicable consumer-protection law, exclusive venue lies in the state or federal courts serving Hall County, Georgia, and each party consents to jurisdiction there.
Before filing a claim, the parties will attempt in good faith for 30 days to resolve it informally after written notice. This section does not prevent either party from seeking urgent injunctive relief.
These Terms and incorporated third-party terms are the entire agreement concerning the Software unless a separate signed agreement applies. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remainder remains effective. Failure to enforce is not a waiver. You may not assign these Terms without written consent; RedX may assign them in connection with a reorganization, financing, merger, acquisition, or asset transfer.
